The final list varies with the institution’s own announcement; the set below is a starting point.

Trade registry gazette Certificate of activity Signature circular Tax registration certificate Contracts All document types

Turkish companies sending commercial documents to Sweden find themselves facing an exceptionally orderly, record-driven system. This page deals with the documents a company established in Türkiye will put before the Swedish companies register, its buyer or a public purchasing authority. A Swedish company opening a branch in Türkiye is a separate process, with the documents translated in the opposite direction.

A culture built on the registration certificate

Companies in Sweden are entered in the national companies register, and the certificate taken from that register is the basic paper asked for at every stage of commercial life. Your counterpart will expect the equivalent from you: a recently dated certificate of activity from the trade registry directorate and the notice in the Türkiye Trade Registry Gazette. The articles of association show the shareholding structure, the signature circular the powers of representation. Swedish institutions pay close attention to consistency between documents; the company name, the address and the numbers are expected to be written identically throughout the file. Even small differences of spelling bring further questions. How abbreviations in Turkish company names will be handled in translation should also be settled at the outset; leaving the name untranslated in its original form and explaining it in brackets is the method that best suits the Swedish habit of verification.

The authorised translator system

Official translation in Sweden is the work of translators authorised by the state; the authorisation is granted through examination and supervision, and a register of authorised translators is kept officially. This is one of the most rule-bound systems in Scandinavia. In translations going to public bodies and to the courts, that authorisation is routinely looked for. In a file prepared in Türkiye the chain runs through the signature of a sworn translator, notarisation and apostille; commercial counterparts generally accept it, while for official procedures the authorised translator route is the safer one. Ask the institution that will handle the matter which of the two applies.

Branch registration and appointing a representative

The commonest way for a Turkish company to operate directly in Sweden is to register a branch. Because a branch creates no separate legal person, the register wants to see plainly who the parent company is and that it has resolved to open this branch; the articles of association, the registry record and the resolution of the competent organ therefore sit at the centre of the file. Appointing the person who will manage the branch is a matter for a separate resolution, and the limits of that person’s authority must be written out clearly in the text. The Swedish register expects the information in the branch entry to match the parent company’s documents exactly; a company name or an address written differently sends the file back. Where the route chosen is a subsidiary instead, the set of documents required from the parent company narrows, but additional papers on capital and on the form of incorporation come into play.

The sustainability file in public procurement

Swedish public procurement asks not only about a company’s legal existence but also for declarations on working conditions, the environment and supply chain practice. For Turkish suppliers that creates an extra layer of documents: policy texts, audit reports, certificates. The level of approval expected in this layer is usually lower; a stamped translation is often enough, because verification runs through the certificate number and the auditing body. Declarations in the nature of an undertaking, on the other hand, have to be submitted together with the power to sign. Separating the two layers brings the cost of the file down markedly. Swedish procurement notices also publish the list of documents in detail; reading that list from the moment the tender is announced and splitting the translation work into two stages keeps you off the final deadline.

Shipping papers and the power of attorney

On shipments to Sweden, certificates of origin and movement certificates are the business of the chambers and the customs administration; being multilingual forms, they are not translated. The invoice and the packing list are likewise drawn up in a foreign language. On the power of attorney side the order runs: signature before a notary, apostille, translation. The scope of the power of attorney should be narrow and itemised, and the grantor’s authority proved by a current registry record and the signature circular. Sweden is a party to the Hague Apostille Convention; verify the current list of parties through the HCCH. Our document types page shows which document calls for which chain.

The commonest reason for rejection, and the form of delivery

In files going to Sweden the first reason for rejection is inconsistency between documents: a difference in the company name, the address or a number. Second comes the level of approval; sending a stamped translation into an official procedure is a frequent mistake. Third is the date of the document. Electronic delivery is usual, but the scan is expected to be legible and complete, with the seal and the signature clearly made out; every page of the document should be scanned even where the reverse is blank. You can send us your file through the quotation form and see what difference the level of approval makes on our pricing page.

The account set out here summarises typical practice; every consulate applies its own current guidance. Settling the form the institution wants at the outset saves the work from being done twice.
