Trade registry gazette Certificate of activity Signature circular Tax registration certificate Contracts All document types

Estonia has moved very nearly all company business into digital form, and that sits awkwardly at times with the paperwork habits of Turkish companies. This page deals with the documents a company established in Türkiye will present to the Estonian trade register, to a business partner or to a tendering authority. An Estonian company structuring itself in Türkiye is a separate process running in the opposite direction.

Digital register, paper document: where is the friction?

Company registration, signature and notifications in Estonia all run on electronic identity and digital signature; the party on the other side is not accustomed to seeing paper. A Turkish company’s documents, by contrast, originate on paper and carry physical features such as seals, stamps and notarisation. The point at which these two worlds meet is the quality of the scanned copy and the completeness of the translation. Translating the seals and endorsements on the Turkish document as well is what allows a counterparty assessing it on screen to make sense of it. Translating only the printed text and passing over what the seals say is a common omission in Estonian files.

The sworn translator: authority from the Ministry of Justice

Authority to act as a sworn translator in Estonia is granted by the Ministry of Justice, and official transactions expect a translation from someone holding it. An authorised translator may also certify a copy of a document, an arrangement that resembles in part what a notary does in Türkiye. For a file prepared in Türkiye the route runs through a sworn translator’s signature, notarisation and an apostille. In register and court matters the safer route is an authorised translator inside Estonia; commercial counterparties generally accept the Turkish chain. Ask the authority that will handle the transaction which route holds good.

What establishes a Turkish company’s identity?

The Estonian register keeps the particulars of registered companies open to all, and your counterparty is accustomed to that transparency. What it expects from you is the same clarity: a recent certificate of activity from the trade registry directorate, the notice in the Turkish Trade Registry Gazette, the articles of association and the signature circular. If you are setting up a company in Estonia, the resolution of the founding shareholder’s competent organ joins the file too. Notification of the natural persons within a Turkish company’s ownership structure is a separate matter of registration, and the documents underpinning it are subject to the same level of certification. Explaining in a covering letter which document answers to what makes things easier for a counterparty coming from a different register culture.

Remote incorporation and the digital signature fallacy

Estonia’s remote company formation and electronic identity arrangements lead people to suppose the process is entirely paperless. Bring a foreign legal person in as a shareholder, though, and the paper returns: the Turkish parent company’s register entry, its articles of association and the resolution of its competent organ are produced as physical documents, apostilled and translated. An electronic signature covers only the declarations made on the Estonian side; it does nothing for the validity of a document drawn up in Türkiye. In the same way, the compliance review carried out when a bank account is opened requires the ownership chain to be opened up as far as the natural persons at the top of it, and those documents are submitted with certified translations as well. Digital infrastructure speeds the process up; it does not remove the obligation to produce documents. Our document types page sets this distinction out document by document.

Regional trade and supply files

For all the smallness of its home market, Estonia is used as a base for reaching the Baltic and Nordic region; Turkish companies serve neighbouring markets through the structure they establish there. That has two consequences for the file. The first is that the same set of documents may have to be prepared in copies destined for several countries. The second is that a single translation may not pass everywhere, because the language and certification rules of the target markets differ. Before you build a regional structure, list which transactions you will carry out in which countries; planning the translation and apostille steps against that list, in one go, comes far cheaper than preparing the same document over and over.

Shipping, powers of attorney and the commonest ground of rejection

For shipments to Estonia, certificates of origin and movement certificates follow the chamber and customs route; they do not enter the translation file. On powers of attorney the order runs: signature before a notary, apostille, translation. Keep the scope narrow and support the grantor’s authority with a current register entry. Estonia is a party to the Hague Apostille Convention; verify the current list of parties through the HCCH. The commonest ground of rejection is failing to include seals and endorsements in the translation; scan quality comes second and the date of the document third. Delivery is very nearly all electronic. You can compare other markets in our country guide and send us your file through the quote form.

This page is intended as guidance; countries’ certification regimes and the document formats they require can be updated over time. Confirm the detail with the institution to which you will submit the paperwork.
