Power of Attorney Translation for the Netherlands

Where a BV transaction, a share transfer, a bank matter or a property deal in the Netherlands is to be handled for you by someone else, the power of attorney is the most fragile link in the file. This page deals only with the translation of the power of attorney itself; for the general regime in the Netherlands, see our country guide. Two things set the power of attorney apart here: the identity of the translator has to be auditable, and in a notaris-centred transaction the scope of authority has to match the transaction.

The Rbtv registration number must appear in the translation

Anyone producing an official translation in the Netherlands is expected to be entered in the register of sworn translators (Rbtv); the registration number appears on the declaration page of the translation and can be verified. On a power of attorney, that number shows by whom and under what authority the document was translated. In a translation produced in Türkiye, by contrast, a sworn translator signs it, a notary notarises it and an apostille is added. Banks and most commercial recipients accept this second route; for registrations and share transactions to be carried out before a notary (notaris), the registered translator route is safer. Have the notaris or the institution carrying out the transaction confirm in writing which route will be valid.

Scope of authority in a notaris-centred transaction

The Dutch notary (notaris) holds a strong role, much as in the German system; in carrying out a BV share transfer, they want to see that the power of attorney expressly confers authority to do it. The broad powers in a Turkish general power of attorney may be found insufficient if no specific transaction is named. The translation conveys the enumerated powers in the text in full and in concrete terms; a vague scope holds the transaction up. The translator does not interpret the authority but carries the scope set out in the document across into Dutch legal language exactly.

It is worth going over the following points before delivery:

  • Verify that the Rbtv registration number appears on the declaration page of the translation.
  • Check that the scope of authority names the transaction the notaris will be carrying out.
  • Confirm that the notary’s attestation block and the apostille certificate have been taken into the translation.
  • Make sure the names of the parties are consistent with the spelling in the passport.

A volmacht granted for a company and proof of representative authority

If the power of attorney is granted on behalf of a company, the signatory’s authority to represent it must be proved by a currently dated registry record and a signature circular, and these must be translated as well. The Dutch notaris reads representative authority from these documents and may ask for further documents on the company’s shareholding structure where necessary. Even a correctly translated volmacht counts as incomplete if the chain of authority behind it is not shown. The translation of the power of attorney and of the supporting documents should therefore be planned on the same timetable, so that the same document is not translated twice.

Identity details, dates and validity

The party details in the power of attorney, identity numbers and any period of validity are carried across exactly in the translation. Since the notaris matches the attorney’s identity against the details in the document, the spelling of the name has to be consistent with the passport; Turkish characters must be transliterated the same way across every document. If the power of attorney contains a terminating condition, a right of substitution or a record of revocation, these must be translated in full. An omitted record of duration or authority opens the validity of the document to question.

Powers of attorney with a photograph, the attestation block and the consular distinction

Turkish notaries frequently draw up a power of attorney with a photograph of the grantor affixed to it, and because that photograph is one of the document’s identity-verification elements, the translation marks its presence with the note [photograph]. The attestation block at the end of the document – the form of the instrument, the notary office, the entry number and any explanatory annotations – is an inseparable part of the text of the power of attorney and must be taken into the translation in full. A translation covering only the body and omitting the attestation block leaves the document half-finished as far as the Dutch notaris is concerned; the apostille certificate is translated in the same way. The translation must cover every page of the source document, and the pages must be presented as a single bound whole.

Where a power of attorney has been drawn up at a Turkish consulate while you are abroad, the process runs differently; such a document is in most cases meant for a transaction in Türkiye and does not always take the place of a local power of attorney to be submitted to an authority in the Netherlands. Deciding at the outset which document will be used in which country prevents time lost on a power of attorney drawn up in the wrong place.

Order of approval and the most frequent mistakes

The order is: signature before a notary, then the apostille, and the translation last. The translation must cover the text of the power of attorney, the notary’s attestation block and the apostille certificate together. The Netherlands is a party to the Hague Apostille Convention; confirm the current position from the official HCCH list. The most frequent mistake is a translation that carries no Rbtv number; the second is leaving the scope of authority vague; the third is having the translation done before the apostille.
